Terms of Service

These Terms of Service (“Terms”) govern your access to and use of www.vortexutv.com (the “Site”), operated by Vortex UTV (“Vortex UTV,” “we,” “us,” or “our”), and any purchase you make through the Site. By using the Site or placing an order you agree to these Terms, our Privacy Policy, Shipping Policy, Return & Refund Policy, and Warranty Policy, each of which is incorporated by reference. If you do not agree, do not use the Site.

1. Eligibility and accounts

You must be at least 18 years old, or the age of majority where you live, to place an order. If you create an account you agree to provide accurate, current information, to keep your password confidential, and to notify us promptly of any unauthorized use. You are responsible for activity under your account. We may suspend or close accounts that violate these Terms.

2. Products, fitment, and descriptions

We work to keep product descriptions, images, specifications, and vehicle fitment information accurate, but we do not warrant that they are error-free or complete. Fitment data is provided as a guide; you are responsible for confirming that a part is correct for your vehicle’s year, make, model, and trim before installation. Colors may vary by monitor. Many products are performance parts intended for off-road use only; installing or using a product may affect your vehicle manufacturer’s warranty and may not be legal for on-road use in your jurisdiction. You are responsible for compliance with applicable laws and for proper, safe installation, which for many components should be performed by a qualified technician.

3. Orders and acceptance

Your order is an offer to purchase. We may accept or decline any order at our discretion, including for suspected fraud, errors in pricing or product information, or unavailability. An order is accepted when we ship it. We may limit quantities and may cancel orders that appear to be placed by dealers or resellers without our agreement. If we cancel an order after payment, we will refund the full amount charged.

4. Pricing, taxes, and payment

All prices are in U.S. dollars and exclude sales tax and shipping, which are shown at checkout before you pay. Applicable sales tax is calculated based on the shipping address. Prices may change without notice, but changes will not affect orders already accepted. If a product is listed at an incorrect price due to a typographical or system error, we may cancel the order and notify you before or after charging; if charged, you will receive a full refund. Payment is processed securely by our payment provider at the time of order; we do not store full card numbers.

5. Shipping, title, and risk of loss

Shipping methods, rates, and delivery estimates are described in our Shipping Policy. Title to and risk of loss for products pass to you when the carrier accepts the package, except that we will assist with carrier claims for items damaged or lost in transit if you notify us within the period stated in the Shipping Policy.

6. Returns, refunds, and warranty

Returns and refunds are governed by our Return & Refund Policy. Product defects are governed by the applicable manufacturer’s limited warranty as described in our Warranty Policy. Except as expressly stated in those policies, products are provided without any other warranty, express or implied, including implied warranties of merchantability and fitness for a particular purpose, to the fullest extent permitted by law.

7. Promotions and discount codes

Promotional offers and discount codes are subject to their stated conditions, may not be combined unless stated, cannot be applied retroactively, and may be withdrawn at any time. We may refuse or reverse a discount that was obtained in error or through abuse.

8. Intellectual property

The Site and its content, including text, graphics, logos, images, product data, and software, are owned by Vortex UTV or its licensors and are protected by copyright, trademark, and other laws. Product names, brand names, and logos of manufacturers appearing on the Site are the property of their respective owners and are used for identification only; no affiliation or endorsement is implied unless stated. You may not copy, reproduce, scrape, frame, or create derivative works from the Site without our written permission.

9. Acceptable use

You agree not to use the Site for any unlawful purpose; to interfere with its operation or security; to attempt unauthorized access to our systems or data; to submit false or misleading information; to transmit malicious code; or to harvest information about other users. We may block access to anyone who violates this section.

10. Reviews and submissions

If you submit reviews, questions, photos, or other content, you grant Vortex UTV a non-exclusive, royalty-free, perpetual, worldwide license to use, reproduce, display, and distribute that content in connection with the Site and our marketing. You represent that you own or have the right to submit the content and that it is accurate, not misleading, and does not infringe anyone’s rights. We may remove content at our discretion.

11. Third-party links and services

The Site may link to third-party websites or use third-party services such as payment processors and shipping carriers. We are not responsible for the content, policies, or practices of third parties. Your use of third-party services is subject to their terms.

12. Disclaimer

The Site is provided “as is” and “as available.” To the fullest extent permitted by law, Vortex UTV disclaims all warranties regarding the Site, express or implied, including that it will be uninterrupted, error-free, or free of harmful components. Nothing in these Terms limits any warranty or remedy that cannot be excluded under applicable consumer law.

13. Limitation of liability

To the fullest extent permitted by law, Vortex UTV and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of use, vehicle damage, towing, or labor costs, arising out of or related to the Site, these Terms, or any product, even if advised of the possibility of such damages. Our total liability for any claim relating to a product is limited to the amount you paid for that product. Some states do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Vortex UTV and its owners, employees, and suppliers from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your misuse of a product, your installation or modification of a product, or your violation of any law or third-party right.

15. Governing law and disputes

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-law rules. Before filing any claim, you agree to contact us at [email protected] so we can try to resolve the issue informally within 30 days. Any dispute that is not resolved informally shall be brought exclusively in the state or federal courts located in DeSoto County, Mississippi, and you consent to their jurisdiction, except that either party may seek relief in small-claims court where eligible. Nothing in this section prevents you from bringing a claim under mandatory consumer-protection law in your home jurisdiction.

16. Changes to these Terms

We may update these Terms from time to time. The effective date at the top will change when we do, and the revised Terms apply to orders placed after that date. Continued use of the Site after a change means you accept the updated Terms.

17. General

If any provision of these Terms is found unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. These Terms, together with the policies referenced above, are the entire agreement between you and Vortex UTV regarding the Site and your purchases. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
